1. Acceptance of B2B Terms

By browsing this website, requesting quotes, or executing commercial transactions with Verdian Exports Pvt. Ltd., your company agrees to be bound by these B2B Terms & Conditions. These terms form a legally binding contract governing all wholesale rug supply, custom design orders, and sample shipments.

2. Quotes, Customization & MOQs

Wholesale Price Quotes: All prices quoted on our B2B portal are starting estimates. Final proforma invoice values are calculated based on size specifications, design complexity, material selections, and raw material index rates.
Minimum Order Quantity (MOQ): Our standard export MOQ is 10 pieces per category, unless agreed upon in writing for custom design samples or initial trade relationships.
Customization Tolerance: Because our rugs are 100% handcrafted by local artisans, minor variances of up to 3-5% in rug sizing dimensions, color dye shade matching, and weave density are industry-standard and accepted by the buyer.

3. Payments & Financial Terms

Unless specifically defined otherwise in your sales contract or proforma invoice:

We require a 30% advance deposit to initiate custom design drawing drafts and yarn dyeing processes.
The remaining 70% balance is payable upon production completion and presentation of the draft Bill of Lading (B/L) copy.
Accepted payment methods include bank telegraphic transfer (T/T), international wire, or irrevocable Letter of Credit (L/C) for large container shipments.

4. Shipping, Delivery & Force Majeure

Standard delivery terms are FOB Indian Ports (usually Nhava Sheva or Mundra) or CIF/DDU to your destination country warehouse as specified in the sales contract. We are not responsible for delays arising from customs clearance holding, port labor issues, shipping line shortages, or acts of God (Force Majeure).

5. Intellectual Property & Custom Designs

Any design drafts, patterns, CAD layouts, or weaving blueprints provided by the client remain the exclusive intellectual property of the client. Similarly, designs created by Verdian Exports Pvt. Ltd.'s internal creative studio remain our property and cannot be copied or shared with competitor manufacturers.

6. Dispute Resolution & Governing Law

These terms, trade agreements, and commercial transactions are governed by and construed in accordance with the laws of India. Any trade disputes, commercial claims, or execution differences shall be subject to the exclusive jurisdiction of the courts of Bhadohi, Uttar Pradesh, India.
